Please read these Terms of Service (collectively with Nurau Inc.’s Privacy Policy, the “Terms of Service”) fully and carefully before using www.nurau.com (the “Site”) and the services, features, content, or applications offered by Nurau Inc. (“we”, “us”, or “our”) or any authorized third party (together with the Site, the “Services”).
These Terms of Service set forth the legally binding terms and conditions for your use of the Site and the Services.

Acceptance of Terms of Service
By registering for and/or using the Services in any manner, including but not limited to visiting or browsing the Site, you agree to these Terms of Service and all other operating rules, policies, and procedures that may be published from time to time on the Site by us, each of which is incorporated by reference and each of which may be updated from time to time with notice to you. Certain Services may be subject to additional terms and conditions specified by us; your use of such Services is subject to those additional terms, which are incorporated into these Terms of Service by reference.
These Terms of Service apply to all users of the Services, including, without limitation, contributors of content, information, and other materials or services, registered or otherwise.
DISPUTE RESOLUTION NOTICE: EXCEPT FOR CERTAIN TYPES OF DISPUTES DESCRIBED IN THE DISPUTE RESOLUTION SECTION BELOW, YOU AGREE THAT DISPUTES BETWEEN YOU AND US WILL BE RESOLVED BY BINDING, INDIVIDUAL ARBITRATION WHERE PERMITTED BY LAW. WHERE APPLICABLE LAW PROHIBITS CLASS ACTION WAIVERS, SUCH WAIVERS WILL NOT APPLY. NOTHING IN THESE TERMS LIMITS YOUR RIGHTS UNDER QUEBEC’S CONSUMER PROTECTION ACT OR OTHER APPLICABLE LAWS.
2. Eligibility
By using the Services, you confirm that you are at least 13 years old. If you are under age 13, you may not, under any circumstances, use the Services. For users aged 13 to 15, parental or guardian consent is required to use the Services, in compliance with applicable laws. You are solely responsible for ensuring that your use of the Services complies with all applicable laws and regulations. The Services are offered only for your personal use and not for the benefit of any third party.
3. Registration
If applicable, to sign up for certain Services, you may be required toregister for an Account on the Services (an “Account”). You must provideaccurate and complete information and keep your Account information updated.You shall not: (i) select or use as a username a name of another person withthe intent to impersonate that person; (ii) use as a username a name subject toany rights of a person other than you without authorization; or (iii) use ausername that is offensive, vulgar, or obscene.
You are solely responsible for the activity on your Account and forkeeping your Account password secure. You may never use another person’sAccount or registration information without permission.
You must notify us immediately of any change in eligibility, breach of security, or unauthorized use of your Account at legal@nurau.com. You may delete your Account directly through the Services or by requesting deletion vialegal@nurau.com.
4. Content
Definition: “Content” is defined as including, without limitation, information, data, text, documents, files, images, videos, audio recordings, user inputs, database entries, reports, templates, configurations, user-generated materials, and any interactive or functional elements generated, uploaded, or made accessible on or through the Services.
“Content” also includes all User Content (as defined below).
User Content: All Content added, created, uploaded, submitted, distributed, or posted to the Services by users (“User Content”), whether publicly or privately transmitted, is the sole responsibility of the person who originated it. You confirm that all User Content provided by you is accurate, complete, up-to-date, and complies with all applicable laws, including Quebec’s Act respecting the protection of personal information in the private sector (Law25) and Canada’s Personal Information Protection and Electronic Documents Act (PIPEDA). You acknowledge that all Content, including User Content, accessed by you using the Services is your responsibility. We do not guarantee the accuracy or reliability of any Content. This does not affect any statutory protections you may have under applicable law.
5. Notices and Restrictions
The Services may contain Content provided by us, our partners, or users, protected by copyrights, trademarks, service marks, patents, trade secrets, or other proprietary rights and laws. You shall abide by and maintain all copyright notices, information, and restrictions contained in any Content accessed through the Services.
You shall not sell, license, rent, or exploit any Content for commercial or personal use or in any way.
6. License to Use User Content
By submitting content through the website, including but not limited to inquiries, feedback, or information provided via contact forms (such as your email address or other details submitted to request more information), you grant us a non-exclusive, royalty-free, worldwide license to use, store, display, and reproduce that content solely to operate and improve the website, respond to your inquiries, and provide the requested information. This license applies only for as long as necessary to fulfill these purposes or as required by applicable law and does not extend to content containing personal information, which is governed by our Privacy Policy and applicable privacy laws in Canada and Quebec.
We will not use your personal information without your express consent, except as necessary to respond to your inquiries or provide the services requested through the website. All user data will be handled in accordance with our Privacy Policy and in compliance with Quebec’s Act respecting the protection of personal information in the private sector and other applicable Canadian privacy laws.
7. Availability of Content
We do not guarantee that any Content will be available on the Site or through the Services. We reserve the right to remove, edit, or modify any Content at our sole discretion, at any time, without notice.
8. Using the Website
As a condition of using this website, you agree not to engage in any activities prohibited by these Terms of Service or applicable laws, including Quebec’s Consumer Protection Act and Law 25. You are responsible for all your actions related to the website.
You shall not:
• Violate intellectual property or privacy rights
• Submit false, unlawful, or harmful information (ie: via contact forms)
• Spam, hack, or disrupt the website’s functionality
• Impersonate others or submit others’ personal data without consent
• Reverse engineer or scrape the website
We reserve the right to access, review, and disclose information as reasonably necessary to:
• Comply with Canadian and Quebec laws
• Enforce these Terms
• Address technical or security issues
• Respond to user inquiries
• Protect our users and the public
9. Third-Party Services
The Services may permit linking to other websites or services not under our control. Accessing third-party resources is at your own risk. We are not responsible for third-party content, privacy policies, or practices.
10. Social Media Services
If applicable, when you share content through social features (ie: “share” buttons), you authorize us to share such content with the chosen third-party platform.
11. Payments and Billing
No paid Services are currently offered through the Site. Payment and billing terms will apply if and when Services are purchased and those terms will be handled separately.
12. Termination
We may suspend or terminate access to the Services at any time. You may delete your Account via the Site or by contacting us. Termination does not affect rights accrued prior to termination.
13. Warranty Disclaimer
The Services are provided “as is” and “as available.” We do not warrant that they will be uninterrupted, secure, or error-free. This disclaimer does not affect any mandatory consumer rights under Quebec law or other applicable consumer protection statutes.
14. Indemnification
To the extent permitted by law, you agree to indemnify and hold harmless Nurau Inc. and its affiliates from any claims arising from your misuse of the Services or violation of these Terms.
15. Limitation of Liability
To the maximum extent allowed by law, Nurau Inc. is not liable forindirect or consequential damages. For direct damages, our liability is limitedto $100 CAD.
This limitation may not apply to Quebec consumers, and where prohibited by law.
16. Dispute Resolution
All disputes will be resolved through individual arbitration under the laws of Quebec, unless prohibited by applicable consumer law. If you are a consumer in Quebec, this arbitration clause applies only if you voluntarily agree to it after a dispute arises. You may also bring claims in Small Claims Court in Quebec, if eligible. Class action waivers do not apply where not enforceable.
17. Governing Law and Jurisdiction
These Terms are governed by the laws of Quebec and Canada. You agree to resolve any disputes in the courts of Montreal, Quebec, unless a different process is required under applicable consumer protection laws.
18. Modification
We may update these Terms by posting revised versions. Continued use of the Site after updates constitutes acceptance.
19. Miscellaneous
- These Terms govern your use of the Site. They do not override any rights or remedies you may have under applicable law.
- We are not liable for failure to perform due to causes beyond our reasonable control that could not have been prevented, even with reasonable diligence.
- You may not assign these Terms. We may assign without notice.
- No agency or partnership is created.
- Notices must be in writing, deemed given when received or electronically confirmed. Electronic notices should be sent to info@nurau.com.
- Failure to enforce any part does not waive future enforcement.
